Terms of Service for Mixing The Band™, The Mixing Workshop™, The Ear Training Kit™ & Sean Shannon Production Services
1. Scope of Agreement
This agreement governs the use of all digital products and educational materials provided and the professional production services rendered by Sean Shannon. By accessing the materials or engaging in professional services, you agree to these terms.
2. Educational Materials & Intellectual Property

Proprietary Content: All content and educational materials — including Mixing The Band™, the Ear Training Kit™, Rack Box Drills™, The Mixing Workshop™ Curriculum, Spectral Balancing (book), and the Mix Fix Checklist — are the exclusive intellectual property of Sean Shannon. Unauthorized reproduction or distribution is strictly prohibited.

License Grant: Upon purchase or institutional licensing, users are granted a non-exclusive, non-transferable license to use these materials for personal or classroom educational use. Institutional licenses are valid only for the number of seats or students specified in the invoice or purchase agreement. Expansion beyond the agreed-upon headcount requires an additional licensing tier.

Usage Restrictions: Licenses are granted per user or per institution. Login credentials may not be shared outside the licensed group.
- Liability: Sean Shannon provides educational materials “as is” for educational purposes. We are not liable for any technical issues or the professional results achieved by students.

Prohibited Acts: Users may not record, redistribute, resell, or publicly perform the instructional videos or drills without express written consent. Unauthorized sharing of login credentials is a violation of this license and may result in immediate termination of access.
- Termination: We reserve the right to terminate access for users found in violation of these licensing terms.
3. Professional Audio Services
This section applies to clients engaging in Mixing, Mastering, Record Production, Recording, Drumming, and Mix Critiques.

Project Delivery: Final files (Mixes, Masters, Drum Tracks, etc.) will be delivered upon receipt of full payment unless otherwise negotiated in a specific project agreement.

Revision Policy: Standard service includes a set number of revision rounds (as specified in your initial quote). Additional revisions beyond the scope of the original agreement may incur additional fees.

Artist Credits: For production, mixing, songwriting, and drumming services, Sean Shannon shall be credited on all metadata and physical packaging (and tagged in relevant social media promotional posts where credits are listed) as “Mixed by Sean Shannon”, “Mastered by Sean Shannon”, “Produced by Sean Shannon”, “Drums by Sean Shannon”, and/or credited as a writer, as performed.

Mix Critiques: Feedback provided during “Mix Critiques” is subjective and educational in nature. While these critiques aim to improve the final output, the ultimate creative decisions remain with the client.
4. Payment and Refunds

Digital Products: Due to the nature of digital downloads and immediate access to the Ear Training Kit™ and associated drills, and Spectral Balancing (book), all sales of educational materials are final.

Service Deposits: A non-refundable deposit may be required to book studio time or production services to secure dates in the calendar.
5. Limitation of Liability
Sean Shannon/The Mixing Workshop is not liable for any data loss (e.g., loss of session files provided by the client) or for the commercial success of any project. Clients are responsible for maintaining backups of their own raw multi-track sessions. While we strive for 100% uptime, we are not liable for temporary service interruptions of digital materials due to scheduled maintenance or third-party hosting outages.
6. Termination of Service
We reserve the right to refuse service or revoke educational licenses for any user who violates these terms or engages in conduct that is detrimental to the professional community.
7. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of Florida.
